TORIDION DMM WORKBENCH — END USER LICENCE AGREEMENT

1. GRANT OF LICENCE
Toridion Ltd ("Toridion", "we", "us") grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the Toridion DMM WORKBENCH ("Software") solely for your own internal business or personal purposes in connection with a valid TQNN DMM instance and credentials issued by or through Toridion Ltd. The Software may contain third-party or open-source components. Such components are governed by their respective licences, which take precedence over this Agreement solely with respect to those components.
2. RESTRICTIONS
You may not: (a) copy, modify, adapt, translate, or create derivative works of the Software; (b) reverse engineer, decompile, disassemble, or attempt to extract the source code; (c) redistribute, sublicense, sell, rent, lease, or otherwise transfer the Software or any rights in it to any third party; (d) remove or alter any copyright notices, trademarks, or proprietary markings; (e) use the Software to build a competing product or service.
3. OWNERSHIP
The Software is and remains the exclusive property of Toridion Ltd. This Agreement grants no ownership rights. All rights not expressly granted are reserved.
4. CREDENTIALS & CONNECTIVITY
Full functionality requires valid TQNN DMM credentials issued by or through Toridion Ltd. You are responsible for maintaining the confidentiality of your credentials. Toridion accepts no liability for unauthorised access resulting from your failure to protect them.
5. DOWNLOAD RECORDS & DATA PROTECTION
By accepting this agreement and proceeding with the download, you acknowledge that Toridion Ltd records: your name, email address (if provided), organisation (if provided), country, IP address, timestamp, platform selected, and version downloaded. This information is processed on the basis of performance of contract and our legitimate business interests, including: (a) licence compliance and audit; (b) software update notifications (if email provided); (c) security and fraud prevention. Your IP address is recorded as part of the acceptance audit log. Data is stored securely and is not sold to third parties. EU/UK residents retain rights under GDPR/UK-GDPR to access, rectify, or erase their records (subject to our legitimate interests in maintaining licence audit records) by contacting privacy@toridion.com.
6. UPDATES
Toridion may issue updated versions of the Software from time to time. This Agreement applies to all updates unless a separate agreement accompanies them.
7. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TORIDION DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
8. LIMITATION OF LIABILITY
Nothing in this Agreement shall limit or exclude Toridion's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under the laws of England and Wales. Subject to the foregoing, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TORIDION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE. SUBJECT TO THE ABOVE CARVE-OUT, TORIDION'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED POUNDS STERLING (£100).
9. TERMINATION
This Agreement terminates automatically if you breach any term. Upon termination you must cease all use of the Software and delete all copies in your possession.
10. GOVERNING LAW & SEVERABILITY
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
